Disclaimer & Limitation of Liability

CommandMSP (“CommandMSP,” “we,” “us,” or “our”) provides a software-as-a-service platform that helps managed service providers organize and visualize their operations. CommandMSP is a software platform only. It is not a managed IT provider, a security operations center, a backup provider, or an insurer, and it does not assume operational responsibility for your business, your clients, or your systems.

Software Platform Only

The Service is a tool that displays, organizes, and processes information you and your integrations provide. Decisions you make based on the Service are your own. You are responsible for independently verifying any information before relying on it for operational, financial, security, or business decisions.

Section 2

What CommandMSP Is Not Responsible For

To the maximum extent permitted by law, CommandMSP is not responsible or liable for any of the following:

  • Loss, corruption, or deletion of customer data, including data you fail to back up independently.
  • Leakage, exposure, or compromise of credentials, API keys, tokens, or other secrets.
  • Misconfiguration of the Service, access controls, integrations, or settings by users.
  • Failure, malfunction, or unexpected behavior of third-party integrations connected to the Service.
  • Outages, downtime, degradation, or discontinuation of third-party platforms or services.
  • Unauthorized access caused by weak, shared, or compromised credentials, or by customer-side security weaknesses.
  • Business losses, missed obligations, or decisions made in reliance on data displayed in dashboards or reports.
  • Errors, omissions, or inaccuracies in data imported or synced from external sources.
  • Security incidents, breaches, or events occurring outside CommandMSP’s direct control.

You are solely responsible for maintaining appropriate backups, security practices, access controls, and disaster-recovery procedures for your business and your clients.

“As Is” / “As Available” — No Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMANDMSP DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

COMMANDMSP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF HARMFUL COMPONENTS. ANY MATERIAL OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN RISK.

Section 4

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMMANDMSP OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Liability cap. COMMANDMSP’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO COMMANDMSP FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, CommandMSP’s liability will be limited to the greatest extent permitted by law.

Third-Party Content & Services

The Service may display content from, or interoperate with, third-party platforms. CommandMSP does not endorse and is not responsible for third-party content, products, or services, including their accuracy, availability, security, or data practices. Your dealings with third parties are solely between you and those third parties.

Section 6

No Professional Advice

Information provided through the Service is for general operational and informational purposes only and does not constitute legal, financial, tax, security, or professional advice. You should consult qualified professionals before making decisions based on it.

Section 7

Relationship to Other Agreements

This Disclaimer is incorporated into and supplements our Terms of Service. In the event of a conflict regarding warranties or liability, the provisions most protective of CommandMSP will apply to the extent permitted by law.
