Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CommandMSP software-as-a-service platform, websites, and related services (collectively, the “Service”) provided by CommandMSP (“CommandMSP,” “we,” “us,” or “our”). Please read them carefully.

Section 1

Acceptance of Terms

By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by them on behalf of yourself and any organization you represent. If you do not agree, you may not use the Service. You represent that you have the authority to bind your organization to these Terms.

Section 2

Description of Service

CommandMSP is a subscription-based, multi-tenant software platform that helps managed service providers manage clients, tickets, projects, sales pipelines, financials, and related operations. We may modify, enhance, or discontinue features of the Service at any time. The Service is provided on a subscription basis and does not include managed IT, security monitoring, or professional services unless separately agreed in writing.

Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must use strong, unique credentials, enable available security features, promptly notify us of any unauthorized access, and ensure that your authorized users comply with these Terms. CommandMSP is not liable for losses arising from your failure to safeguard credentials or access.

Section 4

Acceptable Use

You agree not to: (a) use the Service in violation of any law or third-party rights; (b) attempt to gain unauthorized access to the Service or its systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer, decompile, or attempt to extract source code except as permitted by law; (e) upload malicious code or unlawful, infringing, or harmful content; or (f) resell or provide the Service to third parties except as expressly permitted.

Section 5

Subscriptions, Billing, Trials & Cancellation

Paid subscriptions are billed in advance on a recurring basis according to the plan you select. Free trials, where offered, convert to paid subscriptions unless cancelled before the trial ends. Fees are non-refundable except as required by law or expressly stated. You may cancel at any time, effective at the end of the current billing period; cancellation stops future charges but does not entitle you to a refund of fees already paid. We may change pricing on prospective notice.

Section 6

Customer Data & Backups

As between you and CommandMSP, you retain all ownership of the data you import, upload, or generate in the Service (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service. You are solely responsible for the accuracy, legality, and backup of your Customer Data. CommandMSP is not a backup service, and you should maintain independent backups of any data you cannot afford to lose.

Section 7

Third-Party Integrations

The Service may interoperate with third-party products and platforms that you choose to connect. Such integrations are provided on an “as-is” basis and are governed by the third party’s own terms. CommandMSP does not control and is not responsible for third-party services, their availability, their data handling, or any failures, outages, or changes in them. Your use of an integration is at your own risk.

Section 8

Intellectual Property

The Service, including all software, designs, text, graphics, and trademarks, is owned by CommandMSP or its licensors and is protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, distribute, or create derivative works of the Service except as expressly permitted.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. See our Disclaimer & Limitation of Liability for additional terms.

Section 10

Limitation of Liability

To the maximum extent permitted by law, CommandMSP will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business. CommandMSP’s total aggregate liability arising out of or relating to the Service will not exceed the amounts paid by you to CommandMSP for the Service in the twelve (12) months preceding the event giving rise to the claim. These limitations are described more fully in our Disclaimer & Limitation of Liability, which is incorporated by reference.

Section 11

Indemnification

You agree to defend, indemnify, and hold harmless CommandMSP and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms or any law; or (d) your violation of any third-party right.

Section 12

Termination

You may terminate your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a manner that risks harm to CommandMSP, other customers, or third parties. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnification.

Section 13

Governing Law

These Terms are governed by and construed in accordance with [Governing law — jurisdiction to be specified], without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the courts located in that jurisdiction.

Section 14

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting the revised Terms with an updated effective date or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
